Terms of Service

These Terms form a binding contract between MobiusVision LLC, a Wyoming limited-liability company ("MobiusVision," "we," "our," "us") at 30 N Gould St Ste N, Sheridan, WY 82801 USA, and any person or entity ("you," "Customer") that accesses or uses our Services.

"Services" means our cloud applications Writing Better and Speaking Better, which simulate IELTS® / TOEFL® writing and speaking tests and provide automated feedback. We reserve the right to modify or discontinue any feature at any time.

You may use the Services for personal, non-commercial purposes only. By registering, you represent that you (a) can form a binding contract under applicable law, and (b) will provide accurate account information. Accounts are non-transferable; you are responsible for all activity under your credentials.

All fees are due in U.S. dollars via Stripe. Late or failed payments may result in suspension. Taxes, if any, are your responsibility.

You may cancel within the account dashboard; cancellation takes effect immediately, and payments already processed are non-refundable. We may suspend or terminate your access at any time for violation of these Terms or our Acceptable Use Policy.

You agree not to:

1. Violate any law or regulation;
2. Scrape, crawl, or reverse-engineer the Services;
3. Upload unlawful, infringing, or harmful content;
4. Interfere with networks or compromise security;
5. Use the Services to build competing products.

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services as intended. All content you input and the outputs generated ("User Content") remain yours. You grant us only the rights necessary to operate and display the Services to you. We do not use User Content to train our models.

We do not collect or store personal data beyond what is necessary to operate your account and process payments. See our separate Privacy Policy for details.

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including fitness for a particular purpose, non-infringement, or accuracy of scoring.

To the fullest extent permitted by law, MobiusVision's total liability for any claim arising out of or relating to the Services will not exceed the greater of (i) USD 100 or (ii) the fees you paid to us for the Services in the 12 months preceding the event giving rise to liability.

We are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.

You will indemnify and hold harmless MobiusVision and its affiliates, officers, and employees from any claim arising from your breach of these Terms or misuse of the Services.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Any dispute shall be resolved by binding arbitration in Sheridan County, Wyoming under the Commercial Rules of the American Arbitration Association. Either party may seek provisional relief in a court of competent jurisdiction in Wyoming.

We may revise these Terms by posting an updated version and notifying you via email or in-app notice. Changes become effective 30 days after notice; continued use constitutes acceptance.

• Force Majeure: We are not liable for delays beyond our reasonable control.
• Severability: If any provision is unenforceable, the remaining terms remain in effect.
• Entire Agreement: These Terms plus any Order Forms and our Privacy Policy are the entire agreement between you and us.
• No Waiver: Failure to enforce any provision is not a waiver.
• Assignment: You may not assign rights or obligations without our prior written consent; we may assign in connection with a merger or sale.
